A fiduciary relationship arises when someone is holding a position of trust and confidence for another person.
In the context of a company, the director owes fiduciary duties to his company whereas, for a trust, the trustee owes fiduciary duties to the beneficiaries of the trust upon receiving legal ownership of property from settlor (who has transferred property to the trustee) to hold on his behalf for the benefit of his intended beneficiaries.
